Azoomar LLC - Seller Agreement
(Effective as of Aug 2025)
This Seller Agreement (“Agreement”) is entered into by and between Azoomar LLC, a limited liability company organized under the laws of the State of Delaware, with its principal place of business in Delaware (“Azoomar,” “we,” “our,” or “us”), and you, the seller (“Seller,” “you,” or “your”), who registers to offer products or services on the Azoomar online marketplace (“Marketplace”).
By registering as a Seller, you agree to be bound by this Agreement, our Terms of Use, our Privacy Policy, and any additional policies published on the Marketplace.
1. Subscription Fees
1.1. Seller access to the Marketplace requires payment of subscription fees based on the selected subscription plan. Fees are due at the time of registration.
1.2. Subscription fees are non-refundable under any circumstances and apply for the chosen subscription period (monthly or annual).
1.3. Each subscription plan may include affiliate or referral benefits as published on our website. Details of subscription pricing and benefits are available on the Marketplace portal.
1.4. Buyers/customers are not subject to subscription fees.
2. Commissions and Fees
2.1. Azoomar charges a commission on each completed sale, plus any applicable service or transaction fees, as set out in our “Commission and Fee Schedule” available on the Marketplace.
2.2. If Azoomar funds a promotion, commissions will be calculated on the Seller’s set price at the time of sale.
2.3. Azoomar reserves the right to charge commissions or fees for canceled or unfulfilled sales, to cover services rendered.
2.4. Commission rates and fees may change from time to time with at least 15 days’ prior notice to Sellers via email or system notification.
3. Taxes
3.1. All prices displayed on the Marketplace must be inclusive of applicable U.S. sales tax or other taxes required by law, unless otherwise stated.
3.2. Sellers are solely responsible for determining, collecting, reporting, and remitting any applicable taxes (including but not limited to sales tax, income tax, or import/export duties) arising from their sales.
3.3. If any tax authority determines that Azoomar is responsible for collecting or remitting taxes on your behalf, you agree to indemnify and hold Azoomar harmless from such obligations.
3.4. Sellers must provide Azoomar with any tax documentation reasonably requested (including IRS Form W-9 for U.S. sellers or W-8BEN for non-U.S. sellers).
4. Collection and Payment of Funds
4.1. Azoomar will process customer payments on behalf of Sellers.
4.2. From collected payments, Azoomar will deduct commissions, fees, chargebacks, penalties, refunds, and other amounts owed.
4.3. Remaining funds will be disbursed to the Seller’s designated bank account in U.S. dollars or another supported currency, according to our payout schedule.
4.4. Sellers are responsible for ensuring the accuracy of their payment details. Azoomar is not liable for delays or losses due to inaccurate information.
4.5. Azoomar reserves the right to hold or withhold payments in cases of suspected fraud, chargebacks, or policy violations.
5. Seller Obligations and Performance
5.1. Sellers must provide accurate product descriptions, honor warranties, fulfill orders in a timely manner, and comply with all applicable consumer protection laws.
5.2. Sellers must maintain high performance standards, including acceptable customer ratings and timely shipping.
5.3. Repeated negative reviews or failure to meet minimum performance levels may result in suspension or termination.
6. Prohibited & Restricted Products
Sellers may not list or sell products that are illegal, unsafe, counterfeit, infringe intellectual property rights, or otherwise violate Azoomar’s policies.

7. Violations and Penalties
7.1. If you breach this Agreement, our Terms of Use, or any policies, Azoomar may:
Issue warnings;
Suspend or terminate your Marketplace access;
Impose penalties as set forth in the “Seller Penalty Policy”;
Pursue legal remedies for damages.
7.2. Penalty amounts may be updated from time to time.
8. Insurance
Sellers are strongly encouraged to maintain commercial liability insurance covering their Marketplace activities and must provide proof upon Azoomar’s request.
9. Confidentiality and Data Protection
9.1. All non-public information about Azoomar, including business strategies and customer data, is confidential.
9.2. Sellers may not use Marketplace customer data for marketing or promotional purposes outside the Marketplace without prior written consent.
9.3. If Azoomar incurs costs, fines, or liability due to Seller’s misuse of personal data, Seller shall indemnify and hold Azoomar harmless.
10. Miscellaneous
10.1. This Agreement shall be governed by and construed under the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
10.2. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
10.3. Azoomar may update this Agreement, policies, or procedures at any time. Sellers will be notified of material changes. Continued use of the Marketplace after updates constitutes acceptance.
10.4. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
10.5. This Agreement, together with Azoomar’s Terms of Use, Privacy Policy, and published policies, constitutes the entire agreement between you and Azoomar regarding your Marketplace participation.
